These Terms of Service (“Terms”) govern the use of the INDEXIZ website and the software development, eCommerce, AI, design, marketing and related services (“Services”) that INDEXIZ (“we”, “us”) provides to its clients (“you”). By using the website or engaging us for Services you agree to these Terms. Where a signed proposal, statement of work or master services agreement exists, its specific terms take precedence over these Terms.
We provide the Services described in the proposal or statement of work agreed with you. Each proposal sets out the scope, deliverables, assumptions, timeline and price. Work outside the agreed scope is handled as a change request and quoted separately before we start.
We will perform the Services with reasonable skill and care, using suitably qualified staff, and in line with the agreed timeline. Timelines depend on timely feedback, content, access and approvals from you; delays on your side may extend delivery dates accordingly.
Quotes are valid for 30 days unless stated otherwise. Fixed-price projects are invoiced in milestones as set out in the proposal, typically with a deposit before work begins. Retainers and dedicated-developer engagements are invoiced monthly in advance. Hourly support is invoiced monthly in arrears.
Invoices are payable within 14 days unless agreed otherwise. We may pause work on overdue accounts and charge interest on late payments at a reasonable commercial rate. Prices exclude third-party costs such as hosting, licences, domain names, paid apps, advertising spend and payment-gateway fees, which are either paid directly by you or passed through at cost.
You agree to provide the information, content, credentials, access and approvals we reasonably need, to review deliverables promptly, and to make sure that any material you supply (including text, images, data and third-party software) does not infringe anyone’s rights or break any law. You are responsible for the content and operation of your business, including compliance with consumer, tax and data-protection rules that apply to it.
On receipt of full payment, the custom code, designs and documentation created specifically for you under a proposal are assigned to you. Until then they remain our property and are licensed to you for review and testing only.
We retain ownership of our pre-existing tools, libraries, frameworks, know-how and generic components used in the deliverables, and grant you a perpetual, non-exclusive licence to use them as part of your project. Third-party and open-source software remains subject to its own licences. Unless you ask us not to, we may describe the project in general terms in our portfolio and case studies.
Each party will keep the other’s confidential information (including business plans, pricing, customer data, source code and credentials) confidential, use it only for the purposes of the engagement, and protect it with reasonable security measures. This obligation continues for three years after the engagement ends and does not apply to information that is public, already known, or required to be disclosed by law. We sign separate non-disclosure agreements on request.
Where we process personal data on your behalf (for example customer records in an eCommerce store) we act as your processor, follow your reasonable instructions, apply appropriate technical and organisational security measures and sign a data-processing agreement where required. Our handling of your own contact details is described in our Privacy Policy.
Deliverables are considered accepted when you approve them in writing or when they are put into production use, or 10 business days after delivery if we receive no written objection. We will correct defects in our work that are reported within the warranty period stated in the proposal (30 days by default) at no additional cost.
Except as expressly stated in these Terms, the Services are provided without other warranties. We do not guarantee particular sales, traffic, rankings or business results, and we are not responsible for defects caused by third-party software, platform changes, hosting, or modifications made by you or others.
To the extent permitted by law, our total liability arising out of or in connection with an engagement is limited to the fees paid by you for that engagement in the 12 months before the claim. We are not liable for indirect or consequential loss, loss of profit, revenue, data or goodwill. Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or anything that cannot be limited by law.
Fixed-price projects run until the deliverables are accepted. Retainers and dedicated-developer engagements continue month to month and may be ended by either party with 30 days’ written notice.
Either party may terminate an engagement immediately if the other materially breaches these Terms and does not fix the breach within 14 days of notice, or becomes insolvent. On termination you pay for work completed and costs committed up to the termination date; on payment we hand over the work completed to that point.
